Private Demo Confidentiality Agreement

Version 2026-09-25-v1 · Queensland, Australia

1. Parties and purpose

This agreement applies between ON TRACK by TRACE, ABN 36 530 564 761(ON TRACK) and the person or business accepting it (Recipient). The permitted purpose is: Evaluate Revenue Rescue for a potential trial, licence, investment, partnership or other business relationship with ON TRACK by TRACE.

2. Confidential information

Confidential information includes non-public Revenue Rescue demonstrations, software behaviour, workflows, system architecture, business rules, detection and recovery methods, automation methods, technical materials, documentation, commercial information and other information identified as confidential or that a reasonable person would understand to be confidential in the circumstances.

3. Recipient obligations

• Use non-public Revenue Rescue information only for the permitted evaluation purpose.

• Do not disclose confidential information to anyone except authorised advisers or personnel who genuinely need it for that purpose and are bound to keep it confidential.

• Do not copy, reproduce, reverse engineer, decompile, disassemble, extract, benchmark for competitive replication, or use confidential information to build or assist a competing product except to the extent a right cannot lawfully be restricted.

• Take reasonable steps to protect confidential information and promptly notify ON TRACK by TRACE of any suspected unauthorised access, use or disclosure.

• Return or securely destroy confidential materials on request, except where retention is required by law.

• No intellectual-property ownership is transferred by the disclosure, demo, discussion or evaluation.

4. Information not covered

The obligations do not apply to information the Recipient can demonstrate was already lawfully known without a confidentiality obligation, becomes public through no breach of this agreement, is independently developed without use of the confidential information, or is lawfully received from a third party without a duty of confidence.

5. Required disclosure

If disclosure is required by law or a binding legal process, the Recipient may disclose only what is required and, where lawful and practicable, should notify ON TRACK beforehand so protective steps can be considered.

6. Ownership

All Revenue Rescue intellectual property and confidential know-how remain owned by ON TRACK by TRACE or the relevant third-party owner. No disclosure, meeting, demonstration or evaluation grants ownership or an implied licence.

7. Duration

These confidentiality obligations continue for five years from acceptance. For information that remains a trade secret or otherwise confidential after that period, the Recipient must continue to protect it for so long as it remains confidential, to the extent permitted by law.

8. Governing law

This agreement is governed by the laws of Queensland, Australia.
