Legal notice
Terms & Conditions
These terms set the operating and commercial boundaries for ON TRACK Revenue Rescue™.
Australian operational legal baseline only. Customer-specific external legal/privacy review remains required before unrestricted real customer data or paid production use where the Revenue Rescue readiness gate requires it.
1. Supplier and agreement
Revenue Rescue is supplied by ON TRACK by TRACE, ABN 36 530 564 761, Queensland, Australia.
These Terms & Conditions apply to use of Revenue Rescue together with any signed proposal, order form, pilot agreement or licence agreement. If a signed customer agreement contains a specific negotiated term, that term applies to the extent of any inconsistency.
A person completing the Revenue Rescue licence acceptance step confirms they are authorised to accept these terms on behalf of the business they identify. The service may retain a dated record of the accepted document versions, selected plan and business contact details as commercial evidence of acceptance.
2. Service scope
Revenue Rescue is a business-operations tool that identifies possible leakage, prioritises findings, supports human review, records actions and tracks recovery evidence.
Revenue Rescue does not move customer money, charge cards, issue refunds or write off balances. Where a customer explicitly enables a supported outbound automation, Revenue Rescue may create/send a missing invoice or send an overdue-invoice reminder only when the configured evidence, authority and provider-permission gates pass; uncertain work remains HOLD or requires a person.
3. Human review and automated processing
Findings are decision-support outputs. A suitably authorised person remains responsible for business decisions by default.
Estimated or potential values must not be described as saved or recovered unless a recovery has been separately confirmed against source evidence.
If a customer configures a use in which a computer program uses Personal Information to make, or do something substantially and directly related to making, a decision that could reasonably be expected to significantly affect an Individual's rights or interests, the parties must assess any applicable Australian Privacy Principle transparency requirements before enabling that use for real data.
4. Accounts and authorised use
Users must keep login credentials secure, use the service only for lawful business purposes and access only workspaces and records they are authorised to use.
Workspace owners are responsible for assigning appropriate roles and for ensuring uploaded or connected data may lawfully be processed.
5. Customer data and confidentiality
Customers retain responsibility for the accuracy, lawfulness and authority of data supplied to the service. Customer source data remains the customer's data, and authorised customer users see and control operational records through their Revenue Rescue workspace and connected source systems.
Real customer data must not be used until the product's real-data readiness controls, including required privacy, security, legal and onboarding approvals, are complete.
Normal ON TRACK pilot validation is limited to minimum-necessary proof data: Revenue Rescue rule/version, a non-customer proof reference, finding/outcome status, relevant non-identifying dollar values, detection/resolution dates, confirmed recovery and technical/audit references reasonably required to demonstrate product performance.
Normal pilot proof does not require unrestricted source-record access. Any exceptional ON TRACK access to an underlying customer record must be customer-authorised, minimum necessary, time-bounded and auditable.
Access to customer information is restricted by workspace and role controls. Users must not upload confidential or Personal Information they are not authorised to provide.
6. Intellectual property and licence
Revenue Rescue is licensed, not sold. During an authorised trial or paid licence term, the customer receives a limited, non-exclusive, non-transferable and non-sublicensable right to use Revenue Rescue for its own internal business purposes, subject to these terms and any applicable signed agreement.
All right, title and interest in the proprietary Revenue Rescue software, source code, object code, workflow design, business rules, detection and recovery methodologies, system architecture, branding, documentation and reusable technology remain with ON TRACK by TRACE. Third-party components remain subject to their own applicable licences.
Payment of a subscription, licence fee, implementation fee or any other amount does not sell, assign or transfer ownership of Revenue Rescue or its intellectual property to the customer.
7. Third-party services and overseas handling
Revenue Rescue may rely on contracted hosting, database, security, communications, integration and payment providers. Third-party services may have their own terms and privacy practices.
For Australian real-data deployments, configured provider locations and cross-border arrangements must be reviewed before release. Where APP 8 applies, the responsible APP entity must take reasonable steps in the circumstances before overseas disclosure and must consider section 16C accountability, subject to any statutory exception.
A provider connection must not be treated as authority for Revenue Rescue to take actions outside the permissions and controls expressly granted by the customer.
8. Operational electronic messages
Revenue Rescue service notifications, password/security messages, inbox alerts and invoice/account reminders are intended to remain factual and operational.
Revenue Rescue must not add sales offers, cross-selling or promotional banners to factual service messages. The secure inbox reply tool is not approved as an unsolicited marketing or bulk-marketing channel.
If a message is a commercial electronic message under the Spam Act 2003 (Cth), the approved sender is responsible for ensuring the required consent basis, sender identification/contact information and compliant unsubscribe facility, and for honouring unsubscribe requests within the legally required period.
9. Pricing, billing and Stripe
Commercial pricing, billing cycle, licence term, included usage and implementation scope are governed by the applicable approved proposal, order form, pilot agreement or licence agreement.
Where Stripe checkout or recurring billing is enabled, Stripe processes the payment transaction. Revenue Rescue does not store full payment-card numbers.
A failed or overdue payment may affect paid access only in accordance with the applicable commercial agreement and applicable law. Payment status must never change the meaning or correctness of Revenue Rescue detection findings.
10. Cancellation, refunds and consumer rights
Cancellation, renewal and refund arrangements are those stated in the applicable commercial agreement or checkout terms.
Nothing in these terms excludes, restricts or modifies a right, guarantee, remedy or liability that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law where it applies.
If ON TRACK separately provides a warranty against defects, that warranty must include the prescribed Australian Consumer Law information and wording that applies to it.
11. Availability, security and changes
The service may be updated to improve security, reliability, compliance or functionality. Reasonable steps are taken to preserve auditability and material workflow controls.
Planned or emergency maintenance may temporarily affect availability. Revenue Rescue does not promise absolute security or uninterrupted availability unless a signed customer agreement expressly provides a specific service commitment that can lawfully be given.
Material changes to legal terms should be communicated through an appropriate customer notice or updated agreement.
12. Suspension and termination
Access may be suspended or terminated where required by a customer agreement, security need, unlawful use or material breach. Where practicable, customers should be given reasonable notice and an opportunity to export authorised records, subject to security, legal and retention obligations.
Termination does not transfer ownership of Revenue Rescue intellectual property and does not remove obligations that by their nature continue after termination.
13. Australian Consumer Law, unfair terms and governing law
Nothing in these terms excludes rights or remedies that cannot lawfully be excluded, including rights under the Australian Consumer Law where it applies.
Standard-form terms must not be used to impose a prohibited unfair contract term on a protected consumer or small business. Customer-specific negotiated agreements may replace these baseline terms where appropriate.
To the extent permitted by law, business decisions remain the responsibility of the customer and authorised users. These terms are governed by the laws of Queensland, Australia, unless a signed commercial agreement provides otherwise.
14. Contact
Product, privacy, legal and commercial enquiries may be made through the Contact & support page, by email to support@genevieveapp.com.au, or through the contact route stated in the applicable ON TRACK by TRACE proposal or agreement.
